Senate amends Corporations Act to restore electronic signature use

On Tuesday night the Australian Senate voted to accept the Government's amendments to the Corporations Act, restoring the ability for companies to use electronic signatures and hold virtual annual general meetings (AGMs) until 31st March 2022.

This ensures companies can meet their corporate obligations as they continue to deal with the weekly uncertainty of COVID-19 lockdowns, social distancing, room capacity constraints, and other considerations.

Dan Bognar, Docusign vice president and general manager, Asia Pacific and Japan says, “DocuSign congratulates the Government on passing new legislation that again allows companies to use electronic signatures for executing company documents under the Corporations Act.”

"This legislation provides organisations and the legal community across Australia with continued confidence that they can use electronic technologies, such as DocuSign eSignature, to achieve significant efficiencies and cost savings,” Bognar said.

Electronic signatures and virtual meetings had previously been permitted as a temporary measure under the Corporations Act COVID-19 relief, but this lapsed on 21st March. The new amendment restores this helpful temporary measure, and means organisations can continue to operate with full legality and due process despite working from home or being otherwise unable to congregate in person.
